MAINSOFT SOFTWARE LICENSE AGREEMENTS

This version of the license agreement applies to all countries except France (the license agreement for France is included in the French version of the help file).

This document contains two license agreements. The first is for Trial Copies (also called "Shareware" or "Evaluation Copies"). The second is for Registered Copies. When you agree to abide by these terms, during product installation or otherwise, you are agreeing to both license agreements. As long as you are using a Trial Copy, your use is governed by the Trial License Agreement below. If you purchase the Software, your use is governed by the Standard License Agreement below, unless you have a different license agreement signed MainSoft .

MAINSOFT SOFTWARE LICENSE AGREEMENTS

When you agree to abide by these terms, during product installation or otherwise, you are agreeing to both license agreements. If you purchase the Software, your use is governed by the Standard License Agreement below, unless you have a different license agreement signed MainSoft .

TRIAL LICENSE AGREEMENT

Please read the following terms and conditions before installing, using, copying, transmitting, or distributing this Software. By installing, using, copying, or transmitting the Software, you are indicating that you agree to all of the terms of this license agreement. If you do not agree to all of the terms of this license agreement, then do not install, use, copy, or transmit the Software.

DEFINITIONS

"Software" means the MainSoft product you have downloaded, including both the program and its documentation;

"Trial Copy" means a copy of the Software for which you have not paid a fee to MainSoft or a MainSoft authorized dealer;

"Registered Copy" means a copy of the Software for which you have paid a fee to MainSoft or a MainSoft authorized dealer;

"We" or "Us" means MainSoft, a corporation based in Draveil, France;

"You" means the evaluator or end user of the Software;

SCOPE OF LICENSE

This is not free software. Subject to the terms below, you are hereby licensed by MainSoft to use the Software on one or more computers, for evaluation purposes, without charge, for a period of 21 days or less. Your evaluation period begins when you first install the Software on one or more computers. If you use this Software after the 21-day evaluation period, you agree to pay a registration fee. Visit the MainSoft Web site at http://www.mainsoft.fr for pricing information and to purchase a license. Unregistered use of the Software after the 21-day evaluation period is in violation of French and international copyright laws.

You may, without making any payment to MainSoft:

a) Transfer exact copies of this Trial Copy version of the Software personally to anyone, except for the purpose of extending their 21-day evaluation period;

b) Distribute exact copies of this Trial Copy version of the Software in object code form only, if distributed exclusively through electronic channels; and

c) Make as many exact copies of this Trial Copy version of the Software as you wish, for purposes of distribution as described in (a) and (b) above.

YOU ARE SPECIFICALLY PROHIBITED FROM CHARGING, OR REQUESTING DONATIONS, FOR ANY COPIES, HOWEVER MADE, AND FROM DISTRIBUTING SUCH COPIES WITH OTHER PRODUCTS OF ANY KIND, COMMERCIAL OR OTHERWISE, WITHOUT PRIOR WRITTEN PERMISSION FROM MAINSOFT. MAINSOFT RESERVES THE RIGHT TO REVOKE THE ABOVE DISTRIBUTION RIGHTS AT ANY TIME, FOR ANY OR NO REASON.

All rights of any kind pertaining to the Software which are not expressly granted in this license agreement are entirely and exclusively reserved to and by MainSoft. You may not rent, lease, modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software. You may not make access to the Software available to others in connection with a service bureau, application service provider, or similar business. MainSoft owns the Software under copyright, trade secret and all other laws that may apply. All MainSoft product names, designs, and logos are trademarks of MainSoft.

WARRANTY DISCLAIMERS AND LIABILITY LIMITATIONS

THIS SOFTWARE, INCLUDING ALL FILES, DATA AND MATERIALS, ARE DISTRIBUTED AND PROVIDED "AS IS" AND WITH NO WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. You acknowledge that good data processing procedure dictates that any program, including this Software, must be thoroughly tested with non-critical data before you rely on it, and you hereby assume the entire risk of using the program. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THIS LICENSE.

ANY LIABILITY OF MAINSOFT WILL BE LIMITED EXCLUSIVELY TO REFUND OF THE PURCHASE PRICE, IF ANY. IN ADDITION, IN NO EVENT SHALL MAINSOFT, OR ITS PRINCIPALS, SHAREHOLDERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, SUBSIDIARIES, OR PARENT ORGANIZATIONS, BE LIABLE FOR ANY INDIRECT, SPECIAL INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY SORT WHETHER IN CONTRACT, TORT, STRICT PRODUCT LIABILITY OR OTHERWISE, RELATING TO THE USE OF THE SOFTWARE, OR TO YOUR RELATIONSHIP WITH MAINSOFT.

IN ADDITION, IN NO EVENT DOES MAINSOFT AUTHORIZE YOU TO USE THE SOFTWARE IN APPLICATIONS OR SYSTEMS WHERE THE SOFTWARE'S FAILURE TO PERFORM CAN REASONABLY BE EXPECTED TO RESULT IN A SIGNIFICANT PHYSICAL INJURY, OR IN LOSS OF LIFE. ANY SUCH USE BY YOU IS ENTIRELY AT YOUR OWN RISK, AND YOU AGREE TO HOLD MAINSOFT HARMLESS FROM ANY AND ALL CLAIMS OR LOSSES RELATING TO SUCH UNAUTHORIZED USE.

You may use the Software in any country, except countries that are subject to French export restrictions. You are solely responsible for determining whether any planned export relating to the Software is legal under French and other applicable laws.

GENERAL

This license agreement is the complete statement of the agreement between the parties on the subject matter, and merges and supersedes all other or prior understandings, purchase orders, accompanying documentation, agreements and arrangements. This license agreement shall be governed by the French laws. Exclusive jurisdiction and venue for all matters relating to this license agreement shall be in courts and fora located in France, and you hereby consent to such jurisdiction and venue. There are no third party beneficiaries of any promises, obligations or representations made by MainSoft herein. Any waiver by MainSoft of any violation of this license agreement by you shall not constitute or contribute to a waiver of any other or future violation by you of the same provision, or any other provision, of this license agreement.

STANDARD LICENSE AGREEMENT

Please read the following terms and conditions before installing, using, copying, transmitting, or distributing this Software. By installing, using, copying, or transmitting the Software, you are indicating that you agree to all of the terms of this license agreement. If you do not agree to all of the terms of this license agreement, then do not install, use, copy, or transmit the Software.

The terms and conditions of this license agreement describe the permitted use and user(s) of each Registered Copy of the Software. For purposes of this license agreement, if you have a valid single-copy license, you have the right to use a single Registered Copy of the Software; if you or your organization has a valid multi-user license, then you or your organization have/has the right to install the Software on at most the number of computers licensed. Unlike single-copy licenses, under a multi-user license each computer (work, home, portable, etc.) is counted separately, even if the computers are not in use simultaneously.

DEFINITIONS

"Software" means the MainSoft product you have downloaded, including both the program and its accompanying documentation;

"Trial Copy" means a copy of the Software for which you have not paid a fee to MainSoft or a MainSoft authorized dealer;

"Registered Copy" means a copy of the Software for which you have paid a fee to MainSoft or a MainSoft authorized dealers;

"We" or "Us" means MainSoft a corporation based in Draveil, France;

"You" means the evaluator or end user of the Software;

SCOPE OF LICENSE

MainSoft grants the purchaser of this Registered Copy a non-exclusive license only to install and use the Software. Each Registered Copy of the Software may either be used by a single person who uses the software personally on one or more computers, or installed on a single computer used non-simultaneously by multiple people, but not both. This is not a concurrent use license.

Each Registered Copy may be accessed through a network, provided that you have purchased rights to use a Registered Copy for each computer that will access the Software through the network. For instance, if eight different computers will access the Software on the network, you must purchase rights to use eight Registered Copies of the Software, regardless of whether the eight computers will access the Software at different times or concurrently.

You may, without making any payment to MainSoft:

a) Transfer exact copies of the Trial Copy version of the Software personally to anyone, except for the purpose of extending their 21-day evaluation period;

b) Distribute exact copies of the Trial Copy version of the Software in object code form only, if distributed exclusively through electronic channels; and

c) Make as many exact copies of the Trial Copy version of the Software as you wish, for purposes of distribution as described in (a) and (b) above.

Any serial numbers, registration keys, or other similar codes you receive in order to personalize, install, or register the software are private and confidential information known only to you and to us, and may not be given to others under any circumstances.

All rights of any kind in the Software which are not expressly granted in this license agreement are entirely and exclusively reserved to and by MainSoft. You may not rent, lease, modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on, the Software, nor permit anyone else to do so. You may not make access to the Software available to others in connection with a service bureau, application service provider, or similar business, nor permit anyone else to do so. MainSoft owns the Software under copyright, trade secret and all other laws that may apply. All MainSoft product names, designs, and logos are trademarks of MainSoft.

WARRANTY DISCLAIMERS AND LIABILITY LIMITATIONS

THIS SOFTWARE, INCLUDING ALL FILES, DATA AND MATERIALS, ARE DISTRIBUTED AND PROVIDED "AS IS" AND WITH NO WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. You acknowledge that good data processing procedure dictates that any program, including this Software, must be thoroughly tested with non-critical data before there is any reliance on it, and you hereby assume the entire risk of all use of the copies of the Software covered by this license agreement. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THIS LICENSE.

ANY LIABILITY OF MAINSOFT WILL BE LIMITED EXCLUSIVELY TO REFUND OF THE PURCHASE PRICE. IN ADDITION, IN NO EVENT SHALL MAINSOFT, OR ITS PRINCIPALS, SHAREHOLDERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, SUBSIDIARIES, OR PARENT ORGANIZATIONS, BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY SORT WHETHER IN CONTRACT, TORT, STRICT PRODUCT LIABILITY OR OTHERWISE, RELATING TO THE USE OF THE SOFTWARE, OR TO YOUR RELATIONSHIP WITH MAINSOFT.

IN ADDITION, IN NO EVENT DOES MAINSOFT AUTHORIZE YOU OR ANYONE ELSE TO USE THE SOFTWARE IN APPLICATIONS OR SYSTEMS WHERE THE SOFTWARE'S FAILURE TO PERFORM CAN REASONABLY BE EXPECTED TO RESULT IN A SIGNIFICANT PHYSICAL INJURY, OR IN LOSS OF LIFE. ANY SUCH USE IS ENTIRELY AT YOUR OWN RISK, AND YOU AGREE TO HOLD MAINSOFT HARMLESS FROM ANY AND ALL CLAIMS OR LOSSES RELATING TO SUCH UNAUTHORIZED USE.
